The Friends of Gedling Country Park Annual General Meeting was held on Monday 25 January 2016 in the Council Chambers at the Civic Centre, Arnot Hill Park, Arnold, Nottingham, NG5 6LU.
The meeting was open to members of the Friends Group and the public (however only paid up members were allowed to vote). Proposed New Constitution
The Friends of Gedling Country Park has grown in size over its first year and now wishes to become a registered charity. Currently, we are an 'unincorporated organisation' typically of many small community groups and now wish to become a 'charitable incorporated organisation' (CIO). To do this, requires us to adopt a new constitution - a copy of which is enclosed below:

Becoming a CIO allows us to register with the Charity Commission and receive a unique registered charity number. We will then be subject to all the rules and regulations of such charities, including the production of annual audited accounts.
The benefits are as follows:
The new constitution also makes it clearer as to how trustees are appointed and re-elected and what roles they have in the running of the group (as well as the rights of members to call meetings). The constitution also increases the number of trustees from the current limit of 12 to 15 elected trustees and up to two additional nominated trustees.
We ask that members read the new constitution and if you agree, then to vote for its adoption at the AGM. In the meantime, if you have any queries, please don't hesitate to Contact Us.
** UPDATE: The attached constitution was adopted at the AGM and is currently being submitted to the Charity Commission for their approval **

- Being registered increases our credibility and likelihood of winning charitable grants and donations
- We can receive gift aid from taxable donations
- We can become tax registered as an exempt charity to enable us to reclaim VAT on any of our expenditure
